Terms of Use

1. Agreement

By accessing or using ichiba.tech (the "Platform"), you agree to these Terms of Use ("Terms") on behalf of yourself and any organization you represent. If you do not agree, do not use the Platform. These Terms form a binding agreement between you and Ichiba Tech, Inc. ("Ichiba Tech," "we," "us," or "our"), a Delaware corporation.

2. The Platform

Ichiba is a marketplace that allows organizations to buy and sell internet infrastructure, including compute instances, storage volumes, and networking resources. Ichiba Tech operates the marketplace and provides tools for listing, discovery, and transaction processing. Ichiba Tech is not a party to transactions between buyers and sellers and does not own, operate, or guarantee any infrastructure listed on the Platform.

3. Accounts and Organizations

To use the Platform, you must register an account. You must provide accurate information during registration. Accounts are secured with passkeys — you are responsible for the security of your device and any credentials used to authenticate. Registered users may browse and search listings without joining an organization. To buy or sell infrastructure, you must create or join an organization.

You are responsible for all activity that occurs under your account and organization. You must notify us immediately at support@ichiba.tech if you suspect unauthorized access to your account.

4. Sellers

Sellers are organizations that list infrastructure for sale on the Platform. As a seller, you agree to:

• Only list infrastructure you own or are authorized to resell.
• Provide complete and accurate specifications in all listings, including capacity, performance characteristics, pricing, and location.
• Honor all confirmed purchases at the listed price and specifications.
• Operate a seller gateway that provisions resources reliably and in accordance with the listing.
• Comply with all applicable laws governing the sale of infrastructure services.

5. Buyers

Buyers are organizations that purchase infrastructure through the Platform. As a buyer, you agree to:

• Pay all fees associated with your purchases promptly.
• Use purchased infrastructure only for lawful purposes.
• Not resell, sublicense, or transfer access to purchased infrastructure without the seller's written consent.

6. Payments

Payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. Ichiba Tech may charge platform fees on transactions, which will be disclosed at the time of purchase. All fees are non-refundable except as required by applicable law or as expressly stated in a refund policy communicated to you at the time of purchase.

7. Acceptable Use

You must not use the Platform to:

• Violate any applicable law or regulation.
• Transmit malware or other malicious code.
• Conduct denial-of-service attacks against any system.
• Scrape or extract data from the Platform in a way that degrades availability or circumvents access controls.
• Attempt to gain unauthorized access to any account, system, or data.
• Circumvent platform fees, payment flows, or transaction systems.
• Create multiple accounts to evade restrictions or bans.

API tokens are issued per organization and must not be shared with or transferred to third parties. We may rate-limit or suspend API access to protect platform availability.

8. Intellectual Property

The Platform and all content produced by Ichiba Tech, including software, design, documentation, and trademarks, are owned by Ichiba Tech or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written permission. You retain ownership of content you submit to the Platform, such as listing descriptions, and grant Ichiba Tech a license to display and process that content as necessary to operate the Platform.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Ichiba Tech does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Ichiba Tech is not responsible for the accuracy of listings or the performance of infrastructure sold through the Platform, which are the sole responsibility of the selling organization.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Ichiba Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or related to your use of the Platform. Ichiba Tech's total liability for any claim arising from these Terms or the Platform shall not exceed the fees paid by you to Ichiba Tech in the three months preceding the claim.

11. Termination

You may close your account at any time by contacting support@ichiba.tech. We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. Upon termination, your right to access the Platform ceases immediately. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, and limitation of liability — will survive.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and notify you by email if the changes are material. Continued use of the Platform after updated Terms are posted constitutes your acceptance of the changes.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
